The Board

The Board is responsible for directing, providing appropriate advice, and supervising the Company's business strategy, and is responsible to shareholders for the Group's financial and operational performance as well as its risk management. The Board delegates the development and implementation of Group strategy and day-to-day management issues to the Executive Directors.

The Board is made up of one Executive Director, and three Non-Executive Directors. The Board is satisfied that between the Directors, it has an effective and appropriate balance of independence on the one hand, and knowledge of the Company on the other, to enable it to discharge its duties and responsibilities effectively.

Andrew Fryatt, CEO

Andrew has more than 30 years' experience in technology-dependent businesses, primarily in the Retail and Telecoms sectors. He began his career in the Mars Group, progressing through various marketing roles before joining Kingfisher Group in a senior marketing role. His experience included senior marketing and commercial roles before moving into general management, and he has run major divisions of Daisy and Zen Internet, as well as gaining experience as CEO of Ideal Shopping Direct Plc. He has a particular focus on customer excellence and has received several awards on behalf of his businesses for delivering outstanding service.

Ian Robinson, Chairman

Ian is currently Non-Executive Chairman of Jaywing plc. Ian is also a Non-Executive Director and Chairman of the Audit Committee of Gusbourne plc, an AIM listed English sparkling-wine business. He is a Non-Executive Director of a number of other privately-owned businesses. He is a Fellow of the Institute of Chartered Accountants in England and Wales and holds an honours degree in Economics from the University of Nottingham.

Henry Turcan, Chair of the Nomination Committee

Henry is a fund manager at Lombard Odier Asset Management (Europe) Limited. He has been advising and investing in UK smaller companies for over 20 years and has extensive experience of assisting public companies in creating value for all stakeholders. Henry is being appointed as a representative of Lombard Odier Asset Management (Europe) Limited*, acting in its capacity as discretionary investment manager or sub-adviser for and on behalf of certain funds and accounts managed by it which in aggregate hold 18.86% of the Company's issued share capital and 50% of the Company's outstanding Loan Facility.

David Beck, Chair of the Remuneration Committee

David was Chief Executive of Merit Group Plc, the data and intelligence business, until 31 January 2024, where he led a successful restructuring and turnaround of the business. Previously David spent over thirty years working in the marketing communications industry advising large corporates on strategic reviews and transactions. David is being appointed as a representative of DSC Investment Holdings Limited ("DSC"), a Company owned and controlled by Lord Ashcroft, which holds 50% of the Company's outstanding Loan Facility. Under the terms of the Loan Facility each of DSC and Lombard Odier Asset Management (Europe) Limited* is entitled to appoint up to two representatives to the board of the Company. Lord Ashcroft also holds 29.91% of the Company's issued share capital

Mark Carrington, Chair of the Audit and Risk Committee

Mark is a Fellow of the Association of Chartered Certified Accountants. He is a Non-Executive Director of a number of privately owned businesses both in the UK and Overseas. Mark is also involved in the provision of management services to a number of other privately owned and AIM quoted businesses. Mark is a Non-Executive Director of Political Holdings Limited US and Shutdown Maintenance Services Limited.
